1. Agreement
These Terms of Service govern your purchase, download, and use of Datally. By using the software or completing a purchase, you agree to these Terms. If you use Datally for an organization, you represent that you can bind that organization.
2. Trials and paid licenses
Datally may offer a time-limited evaluation. A trial is for evaluation only, may be limited to one per person or device, and may end or change at any time.
A Professional purchase grants one device activation. A Team purchase grants up to five device activations. Each paid license is non-exclusive, non-transferable, and valid for 365 days beginning when Stripe confirms payment. All seats on a Team license share the same expiration date.
When a license expires, paid functionality may become read-only or unavailable. A new annual license is required to continue paid use. Enterprise orders may have different terms stated in a signed order form.
3. Purchases, taxes, and refunds
Website purchases are one-time payments, not subscriptions, and do not renew automatically. Prices are shown in U.S. dollars before applicable taxes. Stripe processes payment information and may calculate and collect taxes based on your billing details.
Paid licenses include a 30-day money-back guarantee unless a different policy is stated at checkout or required by law. Request a refund from the purchase email by contacting support@datally.io. A refunded or disputed purchase may cause the associated license to be suspended or revoked.
4. Delivery and activation
We send the license key and installer link to the email supplied at checkout. You are responsible for providing a working address, keeping the key confidential, and preventing unauthorized use. Contact support if delivery fails or you replace an activated device.
Activation and periodic validation require an internet connection and transmit the license key, device identifier, application version, and basic system information to Datally. These checks do not include the contents of your source datasets.
5. Your data and outputs
You retain ownership of your data and outputs. The desktop application is designed to process files locally. Data may leave your device only when you intentionally use an online demo, a cloud model, or another network service; those services may have separate terms and privacy practices.
Automated mappings, translations, validations, and consolidations can be incorrect. You are responsible for reviewing outputs, maintaining backups, and deciding whether results are appropriate for your use, including regulated or high-impact decisions.
6. Acceptable use
You may not:
- share a license beyond its purchased seat count;
- circumvent license, trial, security, or usage controls;
- reverse engineer or redistribute the software except where applicable law expressly permits it;
- remove proprietary notices or misrepresent ownership of Datally; or
- use Datally unlawfully or to violate another person's rights.
7. Updates and support
Product updates released during an active license term are included. We may change, replace, or discontinue features, integrations, and supported platforms. Unless an order form says otherwise, support is provided by email without a guaranteed response time.
8. Ownership and third-party software
Datally and its licensors retain all rights in the software, website, documentation, and branding. Datally may include third-party components governed by their own licenses. These Terms do not grant rights to use Datally trademarks.
9. Disclaimers
To the extent permitted by law, Datally is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.
10. Limitation of liability
To the extent permitted by law, Datally will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. Datally's total liability arising from the product or these Terms will not exceed the amount you paid for Datally during the 12 months before the event giving rise to the claim.
Some jurisdictions do not allow certain exclusions, so portions of this section may not apply to you.
11. Suspension and termination
We may suspend or terminate a license for material breach, fraud, chargeback, or unlawful use. When a license terminates, you must stop paid use. Provisions that by their nature should survive—including ownership, disclaimers, and limitations of liability—will survive.
12. Changes and contact
We may update these Terms prospectively. Material changes will be posted here with a revised date and, when appropriate, communicated through the product or by email. A signed order form controls if it conflicts with these Terms.
